VIDEOJUG PAGES: TERMS AND CONDITIONS
This document sets out the terms and conditions ("Terms") on which Videojug Corporation Limited (Company
Registration Number 05655696) of 1 Park Place, Canary Wharf, London E14 4HJ ("Videojug") provides you ("You") with the
Services (defined below) and access to http://pages.videojug.com ("Website"). Please read these Terms carefully. By
clicking on "I Accept", you agree to be bound by these Terms. If you do not accept these Terms, you shall not have
access to the Services and the Website. You are advised to print and retain a copy of these Terms for your future
reference.
Section A: General Conditions apply to all Users of the Services. If you are a Registered User, the provisions
under Section B: Affiliate Advertising, Section C: Display Advertising, and Section D: Page Editor shall apply to
you accordingly in addition to the terms under Section A.
SECTION A: GENERAL CONDITIONS
- 1DEFINITION
- "Affiliate Advertising"
- means the affiliate advertising services provided by Videojug to the Registered User(s). For more information
about Affiliate Advertising, please visit
http://pages.videojug.com/pages/28-Making-Money-Explaining-Google-And-Ebay;
- "Affiliate ID"
- means a unique number assigned to an individual when he or she sets up an affiliate membership with an Affiliate
Partner;
- "Affiliate Partner"
- means the provider of affiliate marketing services;
- "Content"
- means content in all format submitted by Registered User(s) to Videojug using the Registered User Service and
which includes without limitation, text, audio files, visual files, videos, photos, comments or feedback;
- "Display Advertising"
- means display advertising services offered by Videojug which shall comprise of the MPU, Vibrant In-Text links
the InSkin Framework and the Pre-roll Advert. For more information about the various Display Advertising services,

- "Display Advertising Fee"
- means the fee, if any, generated by the Registered User's use of the Display Advertising services;
- "Edit"
- means amending, modifying or editing Content using the Page Editor service, and "Edited" and "Editing" shall be
construed accordingly;
- "Edited Content"
- means Content which has been Edited by a Registered User;
- "InSkin Framework"
- means an interactive online display advertising format that wraps around the video Content provided by the
Registered User and which, for the avoidance of doubt, is a form of Display Advertising;
- "MPU"
- means a mid page unit advertisement available on each Page and/or Site created by a Registered User using the
Registered User Service and which, for the avoidance of doubt, is a form of Display Advertising;
- "Non-registered User"
- means a User who is not registered with Videojug and who, for the avoidance of doubt, only have access to the
Non-registered User Service;
- "Non-registered User Service"
- means access and use of certain features and functionalities of the Website only and which excludes the
registered User Service;
- "Page/Pages"
- means a page within the Website created by the Registered User using the Registered User Service;
- "Page Editor"
- means the page editing service provided by Videojug to the Registered User(s) which gives a Registered User the
facility to Edit the Content hosted on the Page of another Registered User.
- "Pre-roll Advert"
- means an online video advertisement which runs prior to the commencement of the Content uploaded by the
Registered User using the Registered User Service and which, for the avoidance of doubt, is a form of Display
Advertising;
- "Registered User"
- means a User who is registered with Videojug and who has access to the Services;
- "Registered User Service"
- means the services provided by Videojug available only to Registered Users including but not limited to the
following features and functionalities:
- You may create, upload, embed their own content (all formats - text, images, video) on Videojug pages;
- You will receive email notifications and email communication from Videojug;
- You may be able to add & edit content on other people's pages (with consent of the Registered User who
initially created that content);
- You may be able to earn money through the various advertising opportunities that exist on Videojug pages;
- You may leave comments on pages, follow sites & receive updates and 'like' sites through use of the
'like it?' button on each page
- You may enter competitions run on Videojug pages
- You may edit a unique profile area with information about you
- "Services"
- means collectively, the Non-registered User Service and the Registered User Service;
- "Shares"
- means the shares in each Page created by the Registered User. Please visit

- "Site/Sites"
- means a webpage created by a Registered User for the purpose of grouping all related Pages created by him or
her. For more information about Sites, please visit
http://pages.videojug.com/pages/17-Creating-A-Site
- "User"
- means collectively, a Non-registered User and a Registered User;
- "Vibrant In-Text links"
- means an online display advertising format that underlines certain words and phrases within the text Content
provided by the Registered User and displays an interactive advert on mouse-over which, for the avoidance of
doubt, is a form of Display Advertising;
- "Videojug Application Tool"
- means the application tool provided by Videojug to a Registered User to upload his or her Content; and
- "Website"
- means http://pages.videojug.com or any other unique resource locator determined by Videojug and notified to you
from time to time.
- 2THE WEBSITE
- 2.1The Website is owned and managed by Videojug Corporation Limited, a company registered in
England and Wales with Company Registration Number 05655696 and having its address at 1 Park Place, Canary Wharf,
London E14 4HJ. Videojug's VAT number is 873 0758 04
- 3YOUR STATUS
- 3.1By using the Services as a User, you warrant that:
- you are legally capable of entering into binding contracts; and
- you are at least 18 years old.
- 3.2You may use the Services and the Website as a Registered User or a Non-registered User. If you
wish to access the Non-registered User Service only, you shall be deemed a Non-registered User and shall not be
required to register with Videojug.
- 3.3If you wish to use the Registered User Service, you shall be required to register with Videojug
by completing the online registration form which is available on the Website. Videojug may conduct verification
and security procedures in respect of the information you provide in your registration, and you hereby consent to
Videojug undertaking such activities.
- 3.4Videojug shall send you a confirmation email to confirm your registration, username and password
as a Registered User of the Website. You agree to keep such information including your username and password,
confidential and secure.
- 4COMMENCEMENT AND TERMINATION OF YOUR CONTRACT AS A USER
- 4.1Your contract with Videojug commences as follows:
- where you are a Non-registered User, upon your first use of the Non-registered User Service; or
- where you are a Registered User, on the date of the confirmation email sent to you by Videojug.
- 4.2Your contract with Videojug shall terminate:
- where you are Non-registered User, when you cease to use the Non-registered User Service;
- where you are a Registered User, when you notify Videojug by email of your intention to terminate.
- 4.3Videojug may immediately suspend and/or terminate your use of and/or access to the Services
whether you are a Registered User or a Non-registered User by giving you notice:
- if Videojug's network providers and third party suppliers have ceased to provide Videojug with their
services;
- if Videojug believes that where you are a Registered User, you or someone using your username and password
to access the Services and the Website breached any of the provision of these Terms;
- if Videojug has reason to believe that you fail to comply with the applicable laws and legislations;
- if Videojug has reason to believe that your username and password have been hacked into by a third party and
used without authorisation; or
- in situations where Videojug has reason to believe that you have provided Videojug with false, inaccurate or
misleading information when you registered to use the Services and the Website.
- 5YOUR USE OF THE SERVICES
- 5.1You are solely responsible and liable for the use of the Services and the Website as a User
whether such use is authorised by you or not. Consequently, you shall be solely responsible in ensuring that all
use of the Services and the Website:
- comply with the Terms set out herein; and
- comply with all applicable laws and legislations.
- 5.2You shall not:
- at any time use the Services and/or the Website with the purpose of impersonating another User or person;
- do anything which shall or is likely to impair, interfere with, damage, or cause harm or distress to any
persons using the Services and/or the Website or in respect of the network;
- do anything that shall or is likely to infringe any intellectual property right or other proprietary rights
of any third parties;
- participate in, or in any way engage in any activities that may or is likely to fraudulently inflate Page or
Site impressions made in respect of the Display Advertising; and
- abuse or misuse the Services and the Website including but not limited to posting or sending Content which
contains viruses, Trojans, worms, time bombs, cancel bots or other programmes that are intended to damage,
detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal
information.
- 5.3Where you are a Registered User and use the Registered User Service to submit Content to be
published on the Website, you shall ensure that all Content submitted to Videojug for publication:
- comply with all applicable laws and legislations;
- do not infringe any intellectual property rights or other proprietary rights of any third party;
- are not reasonably deemed to be offensive, illegal, inappropriate or in any way:
- promote racism, bigotry, hatred or physical harm of any kind against any group or individual;
- harass or advocate harassment of another person;
- display pornographic or sexually explicit material;
- promote any conduct that is abusive, threatening, obscene, defamatory or libellous;
- promote any illegal activities;
- provide instructional information about illegal activities, including violating someone else's privacy
or providing or creating computer viruses;
- promote or contain information that you know or believe to be inaccurate, false or misleading;
- engage in the promotion of contests, sweepstakes and pyramid schemes, without our prior written consent;
- exploit people in a sexual or violent manner;
- invade or violate any third party's right to privacy; and
- transmit "junk mail", or "chain letters", or unsolicited mass mailing, messaging or "spamming".
- 5.4You shall comply with all instructions provided by Videojug from time to time in respect of your
use of the Services and the Website.
- 5.5You shall be solely responsible and liable for any breaches of these Terms arising out of or
resulting from the use of your username and password to access the Services and/or the Website, whether such use
is authorised by you or not.
- 5.6Videojug does not monitor or moderate the Services, nor does it vet, review or edit any of the
Content submitted by a Registered User for the purposes of publication on the Website to ascertain whether they
may result in any liability to any third party. Consequently, Videojug shall not be liable for any of the Content
uploaded on the Website.
- 5.7If you are a Registered User submitting Content for publication, it is your sole responsibility
to ensure that you comply with the provisions under this clause 5. If you are a Non-registered User and have
reason to believe that the Content uploaded breaches your rights, you may contact Videojug to lodge a complaint by
contacting us through our website contact form

reason to believe that your Copyright has been infringed by a Registered User, you can lodge a complaint following

- 5.8Videojug takes any breach of this clause 5 seriously and therefore, reserves the right to take
any action that it deems necessary. This may include, without limitation, the removal or deletion of the Content
submitted by you if you are a Registered User, and suspension or termination of your use of the Services and/or
access to the Website. In certain circumstances, Videojug may choose to instigate legal proceedings accordingly if
it has been brought to Videojug's notice that there is or may have been illegal use of the Services or the
Website. You shall promptly notify Videojug if you are aware of any or any suspected breaches of this clause 5 by
other Users, whether such users are Registered Users or Non-registered Users.
- 5.9Videojug has the right to suspend your account if it has reason to believe that as a Registered
User, you have falsely and/or fraudulently inflated the number of Page and/or Site impressions generated from your
use of the Display Advertising service. Videojug shall be entitled to withhold any payment of fees (if any) due as
a result of the Display Advertising service whilst it undertakes formal investigations. Videojug shall be entitled
to require you to provide evidence to Videojug by email to demonstrate that all Page and/or Site impressions had
been generated in good faith and does not in any way breach these Terms. Videojug may review the evidence and, at
its sole discretion, invite you to a consultation to determine the veracity and validity of any evidence submitted
by you to Videojug. You agree that Videojug has the sole discretion to terminate your contract, prolong the
suspension of or reactive your account to use the Services.
- 6INTELLECTUAL PROPERTY RIGHTS
- 6.1Videojug and its licensors own all rights in the intellectual property rights relating to the
Services and the Website. These works are protected by copyright laws and treaties around the world. All such
rights are reserved.
- 6.2You may print off one copy and you may download extracts of any pages from the Website solely
for your personal use. If you are a Registered User, you may draw the attention of Users to the Content submitted
by you on the Website.
- 6.3If you are a Registered User, Videojug hereby grants you a licence to use the Videojug
Application Tool strictly for the purpose of using the Registered User Service. This licence is granted to you
only and may not be sub-licensed to another User. Videojug has the right to terminate your right to use the
Videojug Application Tool either (a) upon termination of your contract as with Videojug; or (b) upon notice by
Videojug to you.
- 6.4All intellectual property rights relating to the Content submitted by you as a Registered User
shall remain with you and/or your licensors.
- 6.5You hereby grant to Videojug a perpetual, sub-licensable licence to:
- upload and publish your Content on the Website;
- make the Content available to other Users of the Services; and
- use the Content for the purposes of promoting and marketing the Services and Website; and
- use the Content for commercial purposes.
- 6.6Where you are a Registered User and have uploaded your Content using the Registered User's
Service, you hereby warrant that:
- you have the right to make the Content available on the Website for the purposes for which Content of such
nature are generally made available under the Services; and
- the Content does not infringe any third party intellectual property or any other third party proprietary
rights;
- 6.7Videojug's status and that of any identified contributors including other Users as the authors
of the materials on the Website must always be acknowledged.
- 7PAYMENT TERMS
- 7.1This clause 7 shall only apply to you if you are a Registered User and have earned monies using
certain aspects of the Registered User Service, in particular, the Display Advertising service and the Page
Editor.
- 7.2
In consideration for your compliance with these Terms, Videojug shall pay to you the relevant
applicable fees set out in Sections C, D and E on or by the thirtieth (30th) day of each calendar month, provided
that the total aggregate fees you earn on the due date for such payment in each calendar month is of a minimum sum
of US$5. For the avoidance of doubt, all monies due to you under these Terms are calculated on the last day of
each calendar month. In the event that your total aggregate fees fall below the minimum sum of US$5, then
Videojug shall hold such sum on trust in your favour and on your behalf. Such sum shall be carried forward to the
following calendar month where the sums shall be paid with the other sums arising from your use of the Registered
User Service for that calendar month.
- 7.3You must have a valid PayPal account registered using the same email address used by you to
register an account with Videojug as a Registered User. Videojug shall pay you all the applicable fees using your
PayPal account based on the email address used by you to register as a Registered User. If your registered email
address is incorrect or differs from the email address used in your PayPal account, then you will not receive
payment of any applicable fees. You are solely responsible for ensuring that the correct email address is provided
to Videojug. In no event shall Videojug be liable for the non-payment of any applicable fees arising out of your
provision of an incorrect email address or an email address which differs from that used in your PayPal account.
- 8WARRANTIES AND LIABILITIES
- 8.1You hereby warrant that:
- you shall use the Services and the Website in compliance with all applicable law and legislation; and
- you shall comply with the provisions set out in these Terms.
- 8.2Videojug relies on other service providers (such as network providers, data centres and
telecommunication providers) to make the Services and the Website available to you. Whilst Videojug takes all
reasonable steps available to it to provide you with a good level of service, Videojug does not guarantee that the
Services provided by it shall be fault free or uninterrupted at all times. Videojug therefore shall not be liable
in any way for any losses you may suffer as a result of delays or failures of the Services and the Website as a
result of Videojug's service providers.
- 8.3Pursuant to clause 5.6, Videojug does not have any control in respect of the Content and
therefore, does not monitor or moderate the Content for the purposes of determining whether such Content may give
rise to any liability either to you or to any third party. Consequently, the Services, the Website and the Content
are provided to you "as is". You agree that any use made by you of such Content shall be strictly at your own
risk. Videojug recommend that you do not rely on such information in making or refraining from making a decision
or to embark on a specific course of action without seeking independent third party advice.
- 8.4Videojug does not in any way participate in nor shall it be liable for any communication,
transaction, meet-ups, set-ups or any relationship between you and other Users. Videojug therefore recommends that
you take all safety precautions when contacting, socialising, and engaging in any business transactions or
business or social gatherings and meetings with other Users.
- 8.5Videojug may display links to third party websites and third party advertising banners on the
Website. However, Videojug shall not be responsible and do not accept any liability for such content and your use
of such third party links and advertising banners.
- 8.6To the extent permitted by law, Videojug expressly excludes:
- all conditions, warranties and other terms whether expressed or which might otherwise be implied by statute
or common law;
- any liability for indirect or consequential loss which are losses incurred as a side effect of the main loss
or damage;
- loss of profit;
- loss of income or revenue;
- loss of business or contracts;
- loss of data;
- loss of good will and reputation;
- loss of expectation;
- loss of opportunity;
- loss arising out of or in connection with wasted management or office time; or
for any other loss or damage of any kind, however arising and whether caused by tort (including negligence),
breach of contract or otherwise, even if foreseeable, provided that this condition shall not prevent claims for
loss of or damage to your tangible property or any other claims for direct financial loss that are not excluded by
any of the categories set out above.
- 8.7Nothing in these Terms shall serve to limit or exclude your and Videojug's liability for death
or personal injury resulting from your or Videojug's negligence or any liability for fraudulent misrepresentation.
- 8.8Subject to clause 8.7, Videojug's maximum aggregate liability to you under, arising from or in
connection with these Terms, whether arising in contract, tort (including negligence) or otherwise, shall not
exceed a total of £60 per year.
- 8.9In the event you have a claim or right of action against any other Users (whether such Users are
Registered Users or Non-registered Users) or third parties in respect of the Services and/or the Website, you
agree to pursue such claim or action independently of and without any demands from Videojug, and you fully and
completely release Videojug from all claim, liability and damages arising from or in any way connected with such
claim or action.
- 9REPORTS
- 9.1Videojug shall use its reasonable endeavours to provide the Registered User(s) with a report of
all fees earned by the Registered User(s) and a summary of each Registered User's use of the Services for the
month preceding the date of the report.
- 9.2All reports shall be provided on a monthly basis within fifteen (15) days from the last day of
each calendar month and shall be made available through the Registered User's Videojug account.
- 9.3For the avoidance of doubt, all reports provided to you as a Registered User by Videojug shall
not include any fees arising out of or paid to you in respect of the Affiliate Advertising services
- 10ADDTIONAL DISCLAIMERS
- 10.1Investment & Financial information
The Videojug content located on this Videojug Site should not be interpreted as financial or investment advice
nor should it be interpreted as creating any kind of investment advisor nor financial advisor relationship. You
should NOT rely upon the financial and investment information or opinions provided herein and You should conduct
Your own independent research and consult with Your personal investment advisor before making an investment or
financial decision. You are solely responsible for any investment and financial decisions, omissions or actions
You take. Neither Videojug, its parent, its affiliates, nor any of their respective agents, employees,
information providers or content providers shall have any liability for Your financial/investment decisions
based upon, or the results obtained from, the VideoJug content.
- 10.2Medical & Health information
The Videojug content located on this Videojug Site should not be interpreted as medical or health advice. The
Videojug content should not be used to diagnose, treat or cure any medical or health condition nor should it be
interpreted as creating any kind of doctor-patient or health/medical advisor relationship. You should NOT rely
upon the medical, health, dietary, nutritional or other professional information or opinions provided and You
should always speak to Your personal health care provider before beginning, changing or stopping any medication
or any treatment for a health problem. You are solely responsible for any decisions, omissions or actions you
take based on choosing to seek or not to seek professional medical care, or choosing or not choosing specific
treatments. Neither VideoJug, its parent, its affiliates, nor any of their respective agents, employees,
information providers or content providers shall have any liability for Your medical, health, dietary or
nutritional decisions based upon, or the results obtained from, the VideoJug content.
- 10.3Legal information
The Videojug content located on this Videojug Site should not be interpreted as legal advice nor should it be
interpreted as creating any kind of attorney-client nor legal advisor relationship. You should NOT rely upon the
legal information or opinions provided and You should consult with Your personal legal advisor because this
Website is not a substitute for an in-person consultation with an attorney as the applicability of the legal
principles discussed at this website may differ substantially in individual situations or in different states or
countries. You are solely responsible for any legal decisions, omissions or actions You take. Neither Videojug,
its parent, its affiliates, nor any of their respective agents, employees, information providers or content
providers shall have any liability for Your legal decisions based upon, or the results obtained from, the
Videojug content.
- 11COMPLAINTS
- 11.1If you wish to lodge a complaint about another User for breaching any of these Terms and in
particular, the terms under clause 5, you may do so by following the instructions set out in the 'How to make a

Videojug shall use its reasonable endeavours to respond to your complaints within a reasonable time and to take
reasonable action which it deems appropriate to resolve or rectify the subject matter of such complaints.
- 12DATA PROTECTION AND PRIVACY POLICY
- 12.1Videojug complies with the Data Protection Act 1998 and all other successor legislation and
regulation in the performance of its obligations set out under these Terms. Please click here

- 13GENERAL
- 13.1If Videojug fails at any time to insist upon strict performance of its obligations under these
Terms, or if it fails to exercise any of the rights or remedies to which it is entitled to under these Terms, this
will not constitute a waiver of any such rights or remedies and shall not relieve you from complying with such
obligations.
- 13.2A waiver by Videojug of any default shall not constitute a waiver of any subsequent default.
- 13.3No waiver by Videojug of any of these Terms shall be effective unless it is expressly stated to
be a waiver and is communicated to you in writing.
- 13.4All notification and communication to Videojug should be sent to the contact details made
available to you on the Website.
- 13.5If any of these Terms are determined by any competent authority to be invalid, unlawful or
unenforceable to any extent, such term, condition or provision will to that extent, be severed from the remaining
terms, conditions and provisions which shall continue to be valid to the fullest extent permitted by law.
- 13.6These Terms represent the entire agreement between you and Videojug in respect of your use of
the Website and shall supersede any prior agreement, understanding or arrangement between us, whether oral or in
writing.
- 13.7You acknowledge that in entering into these Terms, you have not relied on any representations,
undertaking or promise given by or implied from anything said or written whether on the Website, the Internet or
in negotiation between us except as expressly set out in these Terms.
- 13.8Videojug reserves the right to modify these Terms at any time. Any changes Videojug may make to
this document in the future will be notified and made available to you using the Website.
- 13.9These Terms shall be governed by and construed in accordance with English law and the English
courts shall have exclusive jurisdiction. If you live outside England and Wales, English law shall apply only to
the extent that it does not deprive you of any legal protection accorded under the law of the place where you are
habitually resident. If English law deprives you of any legal protection which is accorded to you under your local
law, these terms will be governed by your local law and any dispute or claim arising out of or in connection with
these Terms shall be subject to the non-exclusive jurisdiction of the courts where you are habitually resident.
If you are a Registered User using the Registered User Service, the provisions under Sections B, C, D and E
shall apply accordingly.
SECTION B: AFFILIATE ADVERTISING
Subject to your compliance with these Terms, Videojug shall provide you with the Affiliate Advertising services.
- B1AFFILIATE ADVERTISING
- B1.1If you are a Registered User, you may use the Affiliate Advertising services provided that
you comply with the requirements set out in this clause B1.
- B1.2All Affiliate Advertising spaces in each Page and Site created by you shall be allocated on
an equal basis between Videojug and you. Subject to your compliance with the requirements set out in clause
B1.3, Videojug shall place advertisements from Affiliate Partner(s) in your allocated Affiliate Advertising
spaces in each Page and Site created by you.
- B1.3In order to use the Affiliate Advertising services, you must:
- have an Affiliate ID;
- record your Affiliate ID using the settings in your Videojug account; and
- agree to and comply with the applicable terms and conditions from the relevant Affiliate Partner.
- B1.4In the event you do not wish to use the Affiliate Advertising service, Videojug shall be
entitled to place its own Affiliate ID on all Affiliate Advertising spaces in the Page(s) and Site(s) created by
you using the Registered User Service. In this case, you shall not be entitled to any monies arising out of such
Affiliate Advertising services.
- B1.5You acknowledge and agree that your Affiliate Partner(s) shall be solely responsible for
holding any fees generated from the placement of such advertisements and making payment of such fees to you.
Consequently, Videojug shall not be liable for such fees or any monies generated from your use of the Affiliate
Advertising service.

B2ADDITIONAL WARRANTIES AND LIABILITIES
- B2.1Videojug shall not be liable for your communication, dealing, transaction and/or relationship
with the Affiliate Partners and any other third parties in your use of the Affiliate Advertising services
including but not limited to any fees owed by the Affiliate Partner in respect of the Affiliate Advertising
service.
- B2.2In the event of a dispute between you and the Affiliate Partner(s), you agree to deal with
such dispute independently of and without any demands from Videojug, and you fully and completely release
Videojug from all claims, liability and damages arising from or in any way connected to such claim or action.
- B2.3Videojug does not promise, warrant or guarantee any specific results from your use of the
Affiliate Advertising service. Videojug also does not guarantee (a) the availability of the Affiliate
Advertising service at all times; or (b) that the Affiliate Advertising service shall be fault free or
uninterrupted at all times; or (c) that the Affiliate Advertising shall be suitable, fit for a specific purpose,
or appropriate in respect of the Page(s) and Site(s) created by you using the Registered User Service.
SECTION C: DISPLAY ADVERTISING
Subject to your compliance with these Terms, Videojug shall provide you with the Display Advertising services.
- C1MPU, INSKIN FRAMEWORK, VIBRANT IN-TEXT AND PRE-ROLL ADVERT
- C1.1Videojug shall, subject to these Terms, automatically place an MPU and Vibrant In-Text
adverts on each Page or Site created by you using the Registered User Service. For the avoidance of doubt,
Videojug does not vet, review or assess your Page(s) and Site(s) for the purpose of placing these MPU(s) and
Vibrant In-Text adverts.
- C1.2Videojug may, at its sole discretion place an InSkin Framework and a Pre-roll Advert in
respect of the video Content created by you provided that you comply with the provisions under clause C1.3
below.
- C1.3Pursuant to clause C1.2, the provision of the InSkin Framework and Pre-roll Advert shall be
subject to the following requirements:
- the video Content uploaded on the Page or Site complies with these Terms, and in particular, clause 5;
- the video Content fulfils the "Commercial-feasibility Test" which is a set of automated processes devised
by Videojug; and
- the availability of InSkin Framework and Pre-roll Advert services.
- C1.4For the avoidance of doubt, Videojug shall be entitled to suspend, modify, withhold or
terminate the provision of the Display Advertising services at any time and for any reason by notifying you by
email.

- C2PAYMENT
- C2.1Due to the nature of the Display Advertising Fee, Videojug is only able to provide you with
an estimate of the fees you may receive based on the advertising rates and formula set out here

- C2.2In consideration for your compliance with these Terms, Videojug shall pay you the Display
Advertising Fee in respect of the MPU, Vibrant In-text and/or the InSkin Framework and/or the Pre-roll Advert
pursuant to clause 7.
- C3ADDITIONAL WARRANTIES AND LIABILITIES
- C3.1Videojug does not promise, warrant or guarantee any specific results from your use of the
Display Advertising services. In particular, Videojug does not guarantee (a) the availability of any or all of
the Display Advertising services at all times; or (b) that the Display Advertising services are contextual,
suitable, fit for a specific purpose, or appropriate in respect of the Page(s) and Site(s) created by you using
the Registered User Service; or (c) that the Display Advertising shall be fault free or uninterrupted at all
times.
SECTION D: PAGE EDITOR
Subject to your compliance with these Terms, Videojug shall provide you with the Page Editor service.
- D1RIGHTS OF THE REGISTERED USER WHO OWNS THE CONTENT AND PAGE(S)
- D1.1You may adjust your Registered User's account setting to grant consent to other Registered
User(s) to Edit the Content created by you provided that you have given your consent to such Registered User(s).
If you accept any Edited Content submitted by the other Registered User(s), such Edited Content shall be
uploaded and shall appear on your specific Page. In this case, you may at your sole discretion, grant the
Registered User a percentage of the Shares in that Page.
- D1.2If you grant the Registered User a percentage of the Shares in your Page, your existing
Shares in that Page shall be diluted accordingly and this may affect the sum of monies due to you from your use
of some or all of the advertising functionalities of the Registered User Service. You acknowledge and agree that
all Shares granted may not be revoked for any reason whatsoever. For more information about Shares in your

- D2RIGHTS OF THE REGISTERED USER EDITING THE CONTENT
- D2.1You may Edit the Content created by other Registered User(s) provided that such other
Registered User(s) who owns these Content has given his or her consent for you to do so.
- D2.2All Edited Content are subject to acceptance by the Registered User(s) who owns the relevant
Page(s). In the event the Edited Content submitted by you is accepted, such Edited Content shall be uploaded and
appear on the Registered User's Page.
- D2.3If you are granted Shares in the Page in which your Edited Content is uploaded by the
Registered User, you shall be entitled to a sum equivalent to the percentage of Shares granted to you in respect
of any advertising fees generated from that Page.
- D2.4You acknowledge and agree that only certain Edits submitted by you to the Registered User
will generate fees. You further agree that the Registered User who owns the Page(s) may choose not to upload
your Edited Content at his or her discretion. For more information about Editing Page(s) and fees generated by

SECTION E: ADDITIONAL WARRANTIES, LIABILITIES AND INTERLLECTUAL PROPERTY RIGHTS
- E1ADDITIONAL WARRANTIES AND LIABILITIES
- E1.1If you are acting as a Registered User who owns the Page(s) to which the Edited Content is
uploaded, you agree that you shall be solely responsible for:
- vetting, reviewing, assessing accepting or rejecting Edits submitted to you; and
- any liabilities arising out of such Edited Content.
- E1.2If you are acting as Registered User who submits the Edited Content pursuant to the terms of
this clause E, then you warrant that you own and/or have the rights to use and make such Edited Content
available on the Page(s).
- E1.3Videojug does not participate in the reviewing, vetting or monitoring the Edited Content in
the Page Editor services and therefore shall not be liable in any event or for any reason for your use of this
functionality either as the owner of the Page(s) or as a contributor of the Edit.
- E2ADDITIONAL INTELLECTUAL PROPERTY RIGHTS
- E2.1You hereby grant to other Registered User(s) using the Page Editor service the right to Edit
your video Content. For the avoidance of doubt, all rights and interests arising from the Edited Content shall
remain with the other Registered User(s) who Edited the Content. If you are acting as the Registered User who
Edited the Content, you hereby grant to:
- the Registered User who is the owner of the Edited Content, the right to make the Content available on
your Page; and
- Videojug a licence to use the edited, amended or modified Content pursuant to the terms set out in clause
6.5.
